These Terms and Conditions (“Terms”) govern your access to and use of the website nanddiz.com (the “Site”) and any services, features, or transactions conducted through the Site. The Site is operated by Nanddiz LLC (“Company,” “we,” “our,” or “us”).
These Terms apply to all users, including:
Retail Customers – individuals who purchase products for personal use.
Wholesale Buyers – businesses that purchase products from Nanddiz LLC for resale.
Vendors – third‑party sellers who list or sell their own products through the Site.
By accessing or using the Site, or by making any purchase through the Site, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Site.
1. GENERAL CONDITIONS
We reserve the right to refuse service to any person for any reason at any time. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without our express written permission.
Your submission of any information (excluding credit card data) may be transferred unencrypted and involve transmissions over various networks. Credit card information is always encrypted during transfer.
2. ACCOUNT REGISTRATION
To access certain features (including wholesale purchasing or becoming a Vendor), you must create an account.
Accuracy: You agree to provide current, complete, and accurate information and to update it as necessary.
Responsibility: You are responsible for safeguarding your account credentials and for all activity under your account.
Approval: Nanddiz LLC reserves the right to approve, deny, or terminate any account at our sole discretion. Wholesale and Vendor accounts are subject to additional verification.
3. PRODUCTS, PRICING, AND AVAILABILITY
Product Descriptions: We attempt to be as accurate as possible, but we do not warrant that product descriptions, images, or other content are error‑free.
Pricing: Prices are listed in U.S. Dollars (USD) . Retail prices, wholesale prices, and Vendor‑set prices are clearly indicated. We reserve the right to change prices at any time without notice.
Errors: If a product is listed at an incorrect price or with incorrect information, we may refuse or cancel any orders placed for that product, whether or not the order has been confirmed or payment processed.
4. ORDERS, PAYMENT, AND TAXES
4.1 Orders
We reserve the right to limit or cancel quantities purchased per person, per household, or per order. All orders are subject to acceptance by us.
4.2 Payment
We accept payment methods as indicated on the Site. By providing payment information, you represent that you are authorized to use the payment method.
4.3 Taxes
Domestic (United States): Sales tax is collected on orders shipped to states where Nanddiz LLC has a physical presence or economic nexus, in accordance with applicable state laws.
Retail Customers: Sales tax will be added as required by law.
Wholesale Buyers: If you provide a valid, state‑issued resale certificate, sales tax may be exempt.
Vendors: Nanddiz LLC acts as a marketplace facilitator and will collect and remit sales tax on behalf of Vendors where required by law. Vendors are responsible for providing accurate tax information and agree to indemnify Nanddiz LLC for any taxes not properly collected due to Vendor error.
International: For orders shipped outside the United States, no US sales tax is applied. However, the recipient is responsible for all import duties, customs fees, value‑added tax (VAT), goods and services tax (GST), or any other taxes or fees imposed by the destination country. These charges are not collected by Nanddiz LLC and are the sole responsibility of the purchaser. Customs policies vary by country; you should contact your local customs office for further information.
5. SHIPPING AND DELIVERY
Shipping Policy: Shipping times are estimates only. Title and risk of loss pass to the purchaser upon delivery to the common carrier, unless otherwise specified by applicable law.
International Shipping: International shipments may be subject to customs clearance, which can cause delays beyond our control. We are not responsible for delays caused by customs, postal services, or other carriers.
Wholesale Orders: Minimum order quantities (MOQs) may apply. Shipping costs are calculated based on weight, volume, and destination.
Vendor Fulfillment: Vendors are responsible for shipping their own products in a timely manner and must provide tracking information. Vendor shipping policies are set by each Vendor but must comply with these Terms.
6. RETURNS, REFUNDS, AND EXCHANGES
6.1 Retail Customers (Domestic)
Returns are accepted within [30] days of delivery, provided the product is unused, in original packaging, and in resalable condition.
Final sale items, perishable goods, or custom products are non‑returnable.
Refunds will be issued to the original payment method, excluding original shipping charges unless the return is due to our error.
6.2 Retail Customers (International)
International customers may return products subject to the same eligibility criteria above.
Return shipping costs are the responsibility of the customer unless the return is due to our error.
We recommend using a trackable shipping service and purchasing shipping insurance for international returns, as we cannot guarantee receipt of returned items.
Refunds for international orders will be issued in USD at the exchange rate in effect at the time of refund, and we are not responsible for fluctuations in currency exchange rates.
6.3 Wholesale Buyers
All wholesale purchases are final. Returns are not accepted except for products damaged in transit or defective upon arrival.
Claims for damaged goods or discrepancies must be submitted in writing within [48‑72] hours of delivery, accompanied by photographic evidence. Failure to report within this window constitutes acceptance of the goods.
6.4 Vendor Products
Returns of Vendor products are governed by each Vendor’s return policy, which must be clearly disclosed on the product page. If no return policy is disclosed, the default policy is returns accepted within [14] days at the Vendor’s expense.
Nanddiz LLC processes returns on behalf of Vendors. Refunds for Vendor products will be issued from the Vendor’s account. Nanddiz LLC reserves the right to charge back Vendors for refunded amounts.
7. VENDOR TERMS (FOR THIRD‑PARTY SELLERS)
This Section applies to any individual or entity that lists, offers, or sells products through the Site as a Vendor.
7.1 Vendor Account and Approval
To become a Vendor, you must submit an application and be approved by Nanddiz LLC. Approval is at our sole discretion.
You must provide a valid business license, tax identification number (EIN or SSN for US Vendors; for international Vendors, we may require equivalent documentation), and any other information required for compliance with US laws and applicable international regulations.
You represent and warrant that you have the legal right to sell the products you list and that all products comply with applicable safety, labeling, and regulatory requirements in every jurisdiction where you intend to sell.
7.2 Listing Products
You are solely responsible for the accuracy of product descriptions, images, pricing, inventory levels, and compliance with all laws (including but not limited to intellectual property, consumer protection, safety regulations, and import/export laws).
You may not list products that are counterfeit, stolen, prohibited by law, or that infringe on the intellectual property rights of any third party.
7.3 Commissions and Fees
Nanddiz LLC charges a commission on each sale of Vendor products. The commission rate is set forth in the Vendor Application or separate Vendor Agreement.
We may deduct fees (including commissions, payment processing fees, and any refunds or chargebacks) from your sales proceeds before remitting payment to you.
Payments to Vendors are made in USD on a [weekly/monthly] basis, net of any fees, refunds, or adjustments. International Vendors are responsible for any currency conversion costs or bank fees.
7.4 Fulfillment and Customer Service
Vendors are responsible for fulfilling orders within the time frame stated in their listings. Failure to fulfill orders in a timely manner may result in suspension of Vendor privileges.
Vendors must respond to customer inquiries regarding their products within [24‑48] hours. Nanddiz LLC may intervene in customer service disputes, and our decision is final.
For cross‑border sales, Vendors are responsible for providing accurate customs documentation and for complying with all export and import laws.
7.5 Prohibited Conduct
Vendors shall not:
List products that violate any law or third‑party right.
Engage in price‑fixing, collusion, or any unfair competition practices.
Use the Site to market or sell products outside of the approved platform.
Manipulate reviews, ratings, or any other feature of the Site.
7.6 Termination of Vendor Status
We may suspend or terminate any Vendor account at any time for violation of these Terms, failure to pay fees, or any conduct that we believe harms the Site, our customers, or our brand.
8. INTERNATIONAL TRANSACTIONS – ADDITIONAL TERMS
This Section applies to any user (customer or Vendor) located outside the United States or to any transaction that involves cross‑border shipping.
8.1 Compliance with Local Laws
Users are responsible for ensuring that their use of the Site and any purchase or sale of products complies with all applicable laws, regulations, and import/export restrictions in their jurisdiction.
We make no representation that the Site or any products are appropriate or available for use in locations outside the United States. Accessing the Site from territories where its content is illegal is prohibited.
8.2 Customs, Duties, and Import Restrictions
International customers are the importer of record and must comply with all laws and regulations of the destination country. We will not be liable for any customs delays, confiscation, or additional charges.
Products may be subject to import restrictions, prohibitions, or licensing requirements. It is your responsibility to verify that the products you order can be lawfully imported into your country.
8.3 Currency and Exchange Rates

Products sold on the Site may be subject to U.S. export control laws, including the Export Administration Regulations (EAR). You agree to comply with all applicable export and re‑export restrictions. Vendors located outside the United States must provide all necessary documentation to receive payments from Nanddiz LLC, including but not limited to W‑8 forms or equivalent tax documentation.
Vendors are solely responsible for compliance with all export, import, and tax laws applicable to their cross‑border sales.
9. INTELLECTUAL PROPERTY
All content on the Site (excluding Vendor‑supplied content) is the property of Nanddiz LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
Vendors grant Nanddiz LLC a non‑exclusive, royalty‑free, worldwide license to display, promote, and market their products on the Site. Vendors retain ownership of their product images and descriptions, but warrant that they have the right to grant such license.
10. USER GENERATED CONTENT
If you submit reviews, photos, or other content, you grant Nanddiz LLC a perpetual, irrevocable, royalty‑free license to use, reproduce, modify, and display such content in connection with the Site.
11. PRIVACY AND DATA PROTECTION
Your personal information is collected and used in accordance with our Privacy Policy, which complies with applicable US privacy laws including the California Consumer Privacy Act (CCPA). For users in the European Economic Area (EEA) or other jurisdictions with comprehensive data protection laws, we comply with applicable requirements (e.g., GDPR) as described in our Privacy Policy.
Vendors are considered independent data controllers for their own customer data and must comply with all applicable privacy laws. Nanddiz LLC processes Vendor customer data on behalf of Vendors as a service provider.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Nanddiz LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or relating to your use of the Site or any products purchased, whether based on warranty, contract, tort, or any other legal theory.
Our total liability to you for any claim arising out of these Terms shall not exceed the total amount paid by you to Nanddiz LLC in the twelve (12) months preceding the claim (or, in the case of Vendors, the total commissions paid to Nanddiz LLC during that period).
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Nanddiz LLC and its officers, directors, employees, and agents from any claim or demand, including reasonable attorneys’ fees, arising out of your breach of these Terms, your violation of any law, or your infringement of any third‑party right (including intellectual property). Vendors specifically agree to indemnify Nanddiz LLC for any claims arising from the products they sell or any content they provide.
14. DISPUTE RESOLUTION AND GOVERNING LAW
Governing Law: These Terms shall be governed by the laws of the State of [Insert State] , without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
